End User Licence Agreement

1. Acceptance

By accessing or using any software, automation tool, or system ("Software") provided by Redfearn Ops & AI, you agree to be bound by the terms of this End User Licence Agreement ("EULA"). If you do not agree to these terms, you must cease use of the Software immediately.

2. Licence Grant

Redfearn Ops & AI grants a limited, non-exclusive, non-transferable licence to use the Software solely for the purposes agreed in the client engagement. This Software is intended exclusively for:

  1. Internal testing and development by Redfearn Ops & AI; and
  2. Private client deployments where an active engagement agreement is in place.

3. Authorised Parties

Use of the Software is restricted to parties expressly authorised by Redfearn Ops & AI. Unauthorised access, reproduction, redistribution, or use of the Software—in whole or in part—is strictly prohibited.

4. Restrictions

You may not, without prior written consent from Redfearn Ops & AI:

  1. Copy, modify, adapt, or create derivative works of the Software;
  2. Reverse engineer, decompile, or disassemble the Software;
  3. Sublicense, sell, resell, transfer, or otherwise exploit the Software commercially;
  4. Use the Software for any purpose beyond the scope of the agreed engagement.

5. Intellectual Property

All intellectual property rights in the Software remain the exclusive property of Redfearn Ops & AI unless otherwise agreed in writing. This EULA does not transfer any ownership rights to the user.

6. Disclaimer of Warranties

The Software is provided "as is" for the purposes of internal testing and private client use. Redfearn Ops & AI makes no warranties, express or implied, regarding fitness for a particular purpose or uninterrupted operation beyond the scope of the agreed engagement.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Redfearn Ops & AI shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the Software outside of the agreed engagement scope.

8. Termination

This licence is effective until terminated. Redfearn Ops & AI may terminate this licence immediately if you breach any term of this EULA. Upon termination, you must cease all use of the Software and destroy any copies in your possession.

9. Governing Law

This EULA shall be governed by and construed in accordance with the laws of England and Wales.
